1. Acceptance of these terms

These Terms of Service (“Terms”) form a binding agreement between you and Thagbiz Trust (“Thagbiz,” “we,” or “us”) governing your use of the Thagbiz Trust website at thagbis.com, our mobile applications, and any related services (the “Services”).

By creating an account, signing in with Google, funding a wallet, or otherwise using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility and account creation

You must be at least 18 years old and legally able to enter a contract in your country of residence.

You must provide accurate, complete, and up-to-date information when you register and when prompted to update your profile.

Higher transaction limits and certain features require identity verification (KYC). We may refuse, restrict, or close accounts that fail verification or operate outside our supported jurisdictions.

One account per person. Operating multiple accounts to evade limits or restrictions is prohibited.

3. Account responsibility and security

You are responsible for safeguarding your password, verification codes, and any device used to access your account. You must not share your credentials.

Notify us immediately at support@thagbis.com if you believe your account has been accessed without authorization. We are not liable for losses caused by your failure to keep credentials secure.

We may require additional authentication steps (such as 2FA or re-verification) when activity looks unusual.

4. What the Services include

Wallets in supported currencies that hold funds you have deposited or received.

Instant transfers that release funds to the recipient immediately upon initiation.

Protected escrow payments that lock funds in a held state visible to both parties until the sender approves release, the conditions of the transaction are met, or a dispute is resolved.

Foreign exchange conversion between supported currencies at the rates displayed at the time of conversion.

Support and dispute handling tied to the originating transaction.

Available currencies, payment rails, and jurisdictions depend on the financial partners we have integrated. We may add, remove, or change them as partners and regulations require.

5. Fees and exchange rates

Fees applicable to deposits, withdrawals, transfers, escrow funding, and currency conversions are displayed in the product before you confirm a transaction.

Foreign exchange rates shown in the product include our spread over the underlying market rate. The exact rate applied is the one shown to you at the time you confirm a conversion.

Third-party payment providers and banks may charge additional fees outside our control. These are not refundable by Thagbiz.

6. Prohibited activities

You agree not to use the Services for any unlawful purpose, including money laundering, terrorism financing, fraud, tax evasion, sanctions evasion, or any activity prohibited in your jurisdiction or in the jurisdictions where Thagbiz operates.

You may not use the Services to pay for or receive funds related to weapons, narcotics, human trafficking, child exploitation material, unlicensed gambling, multi-level marketing schemes, or other prohibited goods and services.

You may not attempt to disrupt the Services, reverse engineer the platform, abuse our APIs, bypass security controls, or extract data you do not own.

Violations may result in immediate suspension or closure of your account, freezing of funds pending investigation, and reporting to law enforcement or regulators.

7. KYC, AML, and compliance

We are required by law to verify the identity of our users and to monitor transactions for risk. By using the Services you agree to provide the documents and information we request for verification and to allow us to share that information with our verification provider and, where required, with regulators and law enforcement.

We may delay or refuse a transaction, request additional documentation, or freeze funds while we complete a compliance review. We will not be liable for losses caused by delays attributable to compliance reviews carried out in good faith.

8. Protected escrow

When a sender funds a protected escrow payment, the funds leave the sender’s available balance and are held in a reserved state visible to the recipient.

The recipient cannot withdraw the funds until the sender approves release, the agreed conditions are met, or a dispute is resolved in the recipient’s favor.

The sender may release the funds at any time once they are satisfied that the conditions of the transaction have been met.

Either party may open a dispute from inside the product. Disputes are reviewed by our compliance team using the evidence available, and the outcome is binding within the platform.

9. Disputes between you and Thagbiz

If you have a complaint about the Services, contact us first at support@thagbis.com so we can try to resolve it.

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules.

Unless otherwise required by mandatory consumer protection law in your country of residence, you agree that any dispute that cannot be resolved informally will be submitted to the courts of the Federal Capital Territory, Abuja, Nigeria.

10. Suspension and termination

You may close your account at any time by contacting support@thagbis.com. We will return any remaining balances after deducting outstanding fees and after any compliance holds have cleared.

We may suspend or terminate your access to the Services at any time, with or without notice, if you breach these Terms, if we are required to do so by law or by a partner, or if continued operation of your account creates undue risk to other users or to the platform.

Sections of these Terms that by their nature should survive termination (including fees owed, indemnities, limitations of liability, and dispute resolution) will survive.

11. Disclaimers

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Thagbiz disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

Currency exchange rates fluctuate. Past performance of any conversion rate is not an indicator of future rates.

Thagbiz is not a bank. Wallet balances are held with regulated partner institutions, not by Thagbiz directly.

12. Limitation of liability

To the maximum extent permitted by law, Thagbiz will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of business, loss of data, or loss of goodwill, arising from or relating to your use of the Services.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Services will not exceed the greater of (i) the total fees paid by you to Thagbiz in the twelve months preceding the claim, or (ii) one hundred US dollars.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or for personal injury caused by negligence.

13. Indemnity

You agree to indemnify and hold Thagbiz, its directors, officers, employees, and partners harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of any law, or your misuse of the Services.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes we will notify you by email or by an in-app notice before the changes take effect. If you continue to use the Services after the effective date, you accept the updated Terms. If you do not accept them, you may close your account.
